1. Who you are contracting with
These Terms govern your use of the SUMS Compliance service (the "Service"), provided by iThing AB (org.nr 559153-5397, VAT SE559153536901) ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization.
2. The service
SUMS Compliance is a software platform for managing UNECE R156 SUMS and ISO 24089 compliance, including self-assessment, evidence management, supplier oversight, risk and OTA update workflows. Available functionality depends on the plan you have subscribed to.
3. Acceptable use
You must not misuse the Service. You agree not to:
- Use the Service for any unlawful or fraudulent purpose, or to send spam.
- Infringe the intellectual property or other rights of any third party.
- Interfere with security, including by introducing malware, probing, scanning, scraping or otherwise testing the vulnerability of the Service without authorization.
- Reverse engineer, resell or redistribute the Service, or circumvent technical limits.
4. Account and credentials
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.
5. Intellectual property
We retain all right, title and interest in and to the Service, including all software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscribed plan.
6. Your content
You retain ownership of the data and documents you upload. You grant us a limited license to host and process that content solely for the purpose of providing the Service to you.
7. Service level
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
8. Payment, billing and tax
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. The terms governing payment, billing, taxes, currency conversion, and cancellation are set out in Paddle's Buyer Terms.
9. Subscriptions
Subscriptions renew automatically at the end of each billing period unless you cancel. You can manage or cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; access continues until then.
10. Suspension and termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, you may export your data within a reasonable period before it is deleted.
11. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees paid by you in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including lost profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury where such exclusion is prohibited by law.
12. Indemnity
You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
13. Changes
We may update these Terms from time to time. We will notify you of material changes. Continued use after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which iThing AB (org.nr 559153-5397, VAT SE559153536901) is established, without regard to conflict-of-law principles. Disputes will be submitted to the competent courts of that jurisdiction.
